Mars Inc. to Acquire Kellanova in $35.9 Billion Deal: A Game-Changer for the Global Snacking Industry

In a landmark transaction poised to redefine the global snacking industry, Mars Inc. has unveiled plans to acquire Kellanova, the recently formed spin-off from Kellogg Co., in a cash transaction valued at an impressive $35.9 billion. This acquisition, slated to finalize in the first half of 2025, will substantially enhance Mars’ presence in the snack food sector.

The deal, structured at $83.50 per Kellanova share, will integrate popular brands such as Pringles and Cheez-Its into Mars’ already extensive brand portfolio, which includes well-known names like M&M’s and Snickers. This strategic acquisition is expected to create new growth avenues for Mars, aligning with its long-term vision of expanding its global reach in the snacking market.

Poul Weihrauch, CEO of Mars, expressed his enthusiasm for the acquisition during an appearance on CNBC’s “Money Movers.” He stated, “We acquire businesses to nurture and grow them for the long haul, ensuring they thrive for generations to come.” Weihrauch emphasized the compatibility of Kellanova’s offerings with Mars’ existing product lineup, highlighting the significant potential for sustained growth.

This acquisition follows Kellogg’s strategic decision last year to split into two separate entities: WK Kellogg Co., focusing on cereals, and Kellanova, which specializes in snacks and plant-based products. In 2023, Kellanova reported impressive net sales exceeding $13 billion, underscoring its robust market position.

Mars’ acquisition comes at a time when the global economy faces challenges, including high inflation rates, which have prompted consumers to become more price-conscious. Grocery retailers, in response, have increasingly promoted private-label products as cost-effective alternatives. Weihrauch noted that Mars is committed to absorbing as many cost pressures as possible, minimizing the financial impact on consumers.

Andrew Clarke, Global President of Mars Snacking, described the acquisition as a strategic move to create a “broader, global snacking business.” The merger of Kellanova’s strong presence in African markets with Mars’ established business in China is anticipated to unlock significant growth opportunities in these regions.

However, the deal has sparked concerns about potential antitrust issues, particularly due to the overlap in the candy bar market. Consumer advocacy group Food & Water Watch has raised alarms, suggesting that the acquisition could reduce competition, leading to higher prices and fewer healthy options. Amanda Starbuck, the group’s research director, warned that Mars might control nearly half of the snack and cereal bar market following the acquisition.

In contrast, Kellanova CEO Steve Cahillane downplayed the likelihood of antitrust challenges, arguing that the brands complement each other and pointing to the fragmented nature of the snack bar market. “The supermarket snack bar aisle is filled with a vast array of options for consumers, reflecting a highly diversified market,” Cahillane remarked in an interview.

The acquisition also follows months of engagement with Toms Capital Investment Management, an activist fund led by Benjamin Pass. Toms Capital had been advocating for strategic changes at Kellanova, and the acquisition could be interpreted as a response to these pressures. Previously, Toms Capital had joined forces with Third Point, a fund managed by Dan Loeb, to push for changes at Colgate in 2022.

As the acquisition moves toward finalization, industry observers will closely monitor its impact on market dynamics and consumer choices in the snacking sector.
