Sagicor Financial Company Limited’s Strategic Debt Refinancing and Growth Initiatives: A Path to Financial Stability and Expansion

Sagicor Financial Company Limited (SFC) has made impressive strides in strengthening its financial position following two significant rounds of debt refinancing, totaling CA$450 million. These initiatives are poised to yield annual savings of US$12 million ($1.87 billion) in interest expenses, a direct result of SFC’s 2023 acquisition of the Canadian life insurer, Ivari. Through these strategic moves, SFC is not only optimizing its balance sheet but also positioning itself for sustainable growth in the future.

Strategic Acquisition and Enhanced Credit Profile

In October 2023, SFC acquired Ivari for CA$375 million (US$273.72 million), a key move aimed at expanding the company’s footprint and bolstering its earnings. To finance the deal, SFC took on a US$320 million syndicated term loan with a five-year tenure. The loan, initially carrying an interest rate of 10.33%, was calculated using the secured overnight financing rate (SOFR) of 5.33%, plus a five percent spread.

This acquisition doubled SFC’s balance sheet size and became a key driver behind the company’s upgraded credit rating. S&P Global Ratings boosted SFC’s rating to BBB, while Fitch Ratings and DBRS Limited assigned ratings of BBB– and BBB, respectively. These upgrades enabled the company to refinance its high-interest debt, reducing its cost by 200 to 300 basis points (2-3%), effectively improving its financial outlook.

Successful Refinancing Rounds

SFC completed two successful refinancing rounds in 2024, significantly reducing its debt servicing costs. The first round, completed on June 20, raised CA$250 million through a private placement offering, which offered unsecured notes with a 6.359% interest rate. These notes, maturing in June 2029, were partially used to repay the term loan related to the Ivari acquisition.

The second refinancing, finalized on December 4, saw SFC secure CA$200 million (US$141.10 million) through a term loan from a consortium of Canadian and U.S. banks. A portion of the proceeds, amounting to US$113 million, was used to settle the remaining balance of the original term loan, further improving the company’s liquidity position.

Leadership and Operational Growth

Under the leadership of President and CEO Andre Mousseau, SFC has continued to execute its strategic initiatives with great success. Mousseau, who will also serve as the president and CEO of Ivari starting in July 2024, emphasized the company’s commitment to growth through integration and operational optimization. “We remain on track with our growth initiatives, the integration of Sagicor Canada, and continue to optimize our balance sheet through debt refinancing and opportunistic share repurchases,” Mousseau stated.

In addition to these strategic initiatives, SFC made key executive appointments, including Paula Walcott as Chief People Officer, Neil Freyke as EVP – Technology and Chief Digital Officer, and Edwin Huc as Senior Vice President and Head of Internal Audit. These appointments are expected to further strengthen the company’s operational capabilities.

Financial Performance and Market Impact

The acquisition of Ivari has made a substantial contribution to SFC’s financial performance. In the third quarter of 2024, Ivari accounted for 47% of the company’s insurance revenue, totaling US$175.60 million, and generated a net profit of US$62.71 million. For the first nine months of 2024, Sagicor Canada reported insurance revenue of US$518.20 million and a net profit of US$88.33 million.

For the company as a whole, third-quarter insurance revenue surged by 105%, reaching US$371.32 million, while net profit soared by 504%, totaling US$67.57 million. Despite an increase in operating expenses, SFC’s core earnings for the quarter amounted to US$24.1 million, highlighting the company’s strong financial health and growth potential.

Share Buybacks and Market Performance

SFC has also been actively managing its capital structure. During the third quarter, the company repurchased 2.39 million shares, reducing its outstanding share count to 138.83 million as of September 30. This move resulted in an increase in the ownership stake of its largest shareholder, JMMB Group Limited, which now holds 23.84% of the company.

SFC’s stock price has shown resilience, trading at CA$6.48, reflecting a 9% increase year-to-date. Although the price is below its peak of CA$7.40 in April 2024, the company remains focused on executing a balanced strategy that includes share repurchases and continued investments in technology and operational growth across its Caribbean and North American markets.

Looking Ahead: Strong Growth Prospects

With substantial annual interest savings, an upgraded credit rating, and a diversified growth strategy, SFC is well-positioned for continued success. CEO Andre Mousseau is optimistic about the company’s prospects, forecasting strong returns on equity growth in 2025 and beyond. The integration of Ivari, alongside ongoing investments in modernizing its Caribbean franchises, is expected to further accelerate SFC’s growth trajectory.

As SFC continues to optimize its financial structure, expand its market presence, and enhance shareholder value, it remains a key player in the financial services industry, poised for long-term growth and operational excellence.
