Skechers to Go Private in $6 Billion Acquisition by 3G Capital

In a transformative move for the global footwear industry, Skechers USA Inc. has announced its agreement to be acquired by international investment powerhouse 3G Capital in a deal valued at $6 billion. The all-cash transaction will take the California-based brand private after nearly three decades as a publicly traded company.
The agreement, unveiled Monday, places Skechers’ valuation at $63 per share—a premium of 30% over its last closing price. Investors responded swiftly, sending the company’s shares soaring more than 25% in early trading hours.
“With a proven track record, Skechers is entering its next chapter in partnership with the global investment firm 3G Capital,” said CEO Robert Greenberg. “Given their remarkable history of facilitating the success of some of the most iconic global consumer businesses, we believe this partnership will support our talented team as they execute their expertise to meet the needs of our consumers and customers while enabling the company’s long-term growth.”
Strategic Timing Amid Retail Headwinds
The acquisition comes at a time when the retail and footwear sectors face considerable headwinds. Consumers have curbed discretionary spending, and U.S. importers continue to navigate a complex landscape of tariffs and trade tensions.
Skechers recently joined a coalition of footwear brands lobbying Washington for relief from tariffs imposed under President Donald Trump’s trade agenda. The company simultaneously withdrew its 2025 financial guidance, citing global economic uncertainty and macro-level trade risks.
Despite those concerns, a source familiar with the deal clarified that geopolitics played a limited role in the buyout decision.
“3G Capital has had its eye on Skechers for years,” the source said. “While tariffs do create some short-term uncertainty, the long-term fundamentals of the business are strong.”
Although Skechers has not disclosed the full extent of its exposure to Chinese manufacturing—where tariffs currently exceed 145%—the company highlighted that nearly two-thirds of its business operations are international. This geographic diversification may help mitigate the worst effects of U.S.-China trade tensions.
A New Chapter for a Global Footwear Giant
As the third-largest footwear company in the world, trailing only Nike and Adidas, Skechers has long been known for its accessible, comfort-focused shoes and robust global distribution. CEO Robert Greenberg, who co-founded the brand in 1992, will remain at the helm post-acquisition.
The move signals another bold step by 3G Capital, whose portfolio includes legacy brands such as Kraft Heinz and Burger King. Known for its aggressive cost-cutting strategies and focus on operational efficiencies, 3G Capital may look to reshape Skechers’ business model for private market success.
Pending regulatory approvals, the transaction is expected to close by the end of 2025.
