Virgin Media O2 Boosts Network Capacity with £343 Million Spectrum Deal Following Vodafone-Three Merger

London, 1 July 2025 — Virgin Media O2 has unveiled a significant step forward in its mobile strategy with the announcement of a £343 million agreement to acquire 78.8 MHz of radio spectrum from Vodafone UK. The deal, pending regulatory approval from Ofcom, follows the recent merger between Vodafone UK and Three UK and is poised to strengthen Virgin Media O2’s role as a major player in the UK telecommunications landscape.
Once finalized, the acquisition will elevate Virgin Media O2’s total spectrum holdings to approximately 30% of the national mobile spectrum, placing it on a more equal footing with its competitors and promising improvements in service quality and network performance across the country.
Enhancing Competition and Consumer Choice
The spectrum transfer is part of a broader initiative that includes a refreshed network sharing agreement between Virgin Media O2 and the newly merged Vodafone-Three entity. This long-term collaboration, initially established in 2024, is designed to create a more balanced distribution of spectrum resources among the UK’s three main mobile network operators. The aim is to foster enhanced competition, wider coverage, and better service for consumers and businesses alike.
Lutz Schüler, CEO of Virgin Media O2, emphasized the strategic importance of the transaction:
“This acquisition of spectrum will not only create greater balance in holdings across the UK’s mobile networks, but for Virgin Media O2 it will allow us to boost coverage and further improve our network quality, building on the significant investment we are already making in our mobile network.”
Strategic Investment for Network Evolution
The spectrum purchase represents a crucial component of Virgin Media O2’s broader investment strategy, which has already seen the company commit more than £2 billion to expanding and upgrading its infrastructure. The newly acquired spectrum will enhance mobile data capacity, improve speeds, and support more consistent connectivity—particularly in high-demand urban areas and underserved rural communities.
In addition to strengthening its own service offerings, Virgin Media O2’s network improvements will benefit wholesale partners and Mobile Virtual Network Operators (MVNOs) that rely on its infrastructure to deliver services to millions of UK users.
Financing and Deployment Timeline
The transaction will be partially financed through the sale of a minority stake in Cornerstone, a key tower infrastructure business. Payments for the spectrum will be staggered over several years, with deployment expected to begin in 2025 and continue into the medium term.
With Ofcom’s approval pending, the deal marks a critical moment in the evolution of the UK’s mobile sector, potentially reshaping the competitive dynamics and setting the stage for a new era of innovation, investment, and consumer choice.
